By accessing or using Nexora Digital's website and services, you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a company, you represent that you have the authority to bind that organization.
Nexora Digital provides B2B agentic AI software development services, including autonomous agent development, multi-agent orchestration, enterprise AI integration, and AI strategy consulting. Specific service terms are outlined in individual project agreements and statements of work.
All custom AI agents, systems, and code developed specifically for a client project are owned by the client upon full payment, unless otherwise agreed. Nexora Digital retains ownership of its proprietary platform, frameworks, and pre-existing IP. We grant clients a perpetual, non-exclusive license to use our platform components embedded in their solutions.
Both parties agree to keep confidential all non-public information shared during the engagement. This includes but is not limited to business data, technical architectures, AI model configurations, and financial terms. Confidentiality obligations survive for 3 years after termination.
For production deployments, Nexora Digital offers a 99.9% uptime SLA for enterprise clients. SLA details, including response times, escalation procedures, and service credits, are specified in individual service agreements.
Payment terms are as specified in the applicable statement of work. Unless otherwise agreed, invoices are due within 30 days of receipt. Late payments may incur interest at 1.5% per month.
To the maximum extent permitted by law, Nexora Digital's total liability for any claim arising from or related to our services shall not exceed the fees paid by the client in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.
While our AI agents are designed with extensive guardrails and safety measures, autonomous AI systems may occasionally produce unexpected outputs. Clients are responsible for configuring appropriate human oversight for critical decision-making processes. Nexora Digital provides the tools for human-in-the-loop controls but does not guarantee infallible AI agent performance.
Either party may terminate a service agreement with 30 days written notice. Upon termination, Nexora Digital will provide all client data, code, and documentation. Transition assistance is available at standard hourly rates.
These terms are governed by the laws of the United Arab Emirates and the applicable laws of the Ajman Free Zone. Any disputes shall be resolved through the competent courts of Ajman, UAE.
